1. Who we are and what this document applies to
Yolia is a technology platform operated by Omar Eduardo Escobio Arenas (individual, operating under the trade name “Yolia”), whose notification address is provided in writing upon request at contact@yolia.farm ("Yolia", "we", or "the Company"). These Terms and Conditions ("the Terms") govern access to and use of the website, applications, dashboards, simulators, specialized laboratories, and any other services offered under the Yolia brand (collectively, "the Service").
By creating an account, logging in, or using any part of the Service, you agree to be bound by these Terms, by the Privacy Notice, and by each of the specific policies listed on the Legal page, which are incorporated here by reference as if fully transcribed. If you do not agree with any part of these documents, you must refrain from using the Service.
2. Eligibility and accounts
2.1. To create an account you must be of legal age under the law of your country of residence, or have the verifiable consent of whoever holds parental authority or legal guardianship, when applicable law allows it.
2.2. You are responsible for keeping your access credentials confidential and for all activity that occurs under your account. You must notify us immediately of any unauthorized use.
23. The information you provide when registering (name, email, contact details, cultivation location) must be truthful, complete, and up to date. Yolia may suspend or cancel accounts with false or misleading information.
2.4. Yolia reserves the right to refuse registration, or suspend or cancel any account, at its sole discretion, when there is reasonable suspicion of fraud, identity impersonation, misuse of the Service, or breach of these Terms.
3. Description of the Service
3.1. Yolia offers a dynamic nutritional-formula generation engine for crops, specialized laboratories by plant type, educational simulators, log and case-file tracking, and dashboards for individual farmers, cooperatives, and government institutions, among other features described on the site.
3.2. The Service is based on algorithmic models, module and ingredient catalogs, and automated safety rules described in detail in the Generation and Ownership of Dynamic Formulas Policy and the Diagnosis and Regulation of the Specialized Laboratories Policy. Yolia does not guarantee specific agronomic results; see section 8 (Limitation of liability) of this same document, the Disclaimer for Public Simulators Policy, and the Agricultural Disclaimer for the exact scope of these limitations.
3.3. Yolia may modify, expand, limit, or discontinue Service features at any time, including module catalogs, specialized laboratories, usage limits, and service tiers, without this generating any right to compensation except as expressly provided in the Billing, Cancellations, and Refunds Policy.
4. Prohibited conduct
By using the Service, you agree NOT to:
- Attempt to gain unauthorized access to accounts, case files, formulas, or data belonging to other users, cooperatives, or organizations;
- Reverse-engineer, decompile, or attempt to extract Yolia's source code, algorithms, or ingredient and module databases, except to the extent applicable law expressly and non-waivably permits;
- Use bots, scrapers, automation, or any technical means to bulk-extract data, formulas, or content from the Service outside the tools Yolia makes available for that purpose;
- Attempt to evade, disable, or manipulate the formula engine's safety locks;
- Resell, sublicense, redistribute, or apply the Yolia formulas generates a number of plants greater than the one declared in the corresponding case file;
- Use the Service, its simulators, or laboratories to optimize, advise on, or manage the cultivation of plant species that are regulated, restricted, or illegal under applicable legislation in your location (including, in Mexico, the General Health Law and COFEPRIS regulations, and their equivalents in other countries), unless you hold the corresponding valid licenses or authorizations, which you must present upon Yolia's request;
- Upload content that infringes third-party rights, is defamatory, obscene, or violates any applicable law;
- Deliberately overload the Service's infrastructure through automated requests or anomalous traffic volumes.
5. Intellectual property
5.1. The Service, including its software, interface, module catalog, ingredient library, formula generation and enhancement algorithms, visual design, and educational content, is owned by Omar Eduardo Escobio Arenas (individual, operating under the trade name “Yolia”) or its licensors, and is protected by applicable intellectual-property laws.
5.2. Yolia grants you a limited, non-exclusive, non-transferable, revocable license to use the Service under these Terms and your purchased plan. This license does not include any right to the source code, algorithms, or module database.
5.3. Formulas generated specifically for your case file are made available to you for your personal use or that of your operation, in the declared plant quantity, in accordance with the Generation and Ownership of Dynamic Formulas Policy. This does not grant you ownership of the modules, ingredients, or the engine that generated them.
5.4. Any content you upload to the Service remains yours, in accordance with the Intellectual Property and User Content Policy.
6. Security and IP address blocking
Yolia monitors traffic and behavior patterns to protect the Service's integrity. We reserve the right to temporarily or permanently block IP addresses, devices, or accounts that show patterns consistent with intrusion attempts, automated abuse, fraud, or any other activity that threatens the security, availability, or integrity of the Service's data, without prior notice when urgency justifies it.
7. Plans, pricing, and changes
Prices, plans, and features of each service tier are published on the site and may be updated periodically. Price changes do not apply retroactively to periods already billed, and will be announced with at least thirty (30) calendar days' notice before applying to future renewals (or the longer period applicable law requires, if longer than thirty days). See the Billing, Cancellations, and Refunds Policy for full detail.
8. Limitation of liability
8.1. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." To the maximum extent permitted by applicable law, Yolia does not guarantee that the Service will be uninterrupted, error-free, or that the agronomic results obtained will match the engine's projections or recommendations.
8.2. To the maximum extent permitted by applicable law, Omar Eduardo Escobio Arenas (individual, operating under the trade name “Yolia”)'s total liability to you for any claim related to the Service is limited to the amount you paid Yolia in the twelve (12) months prior to the event giving rise to the claim.
8.3. Nothing in these Terms is intended to limit Yolia's liability in cases where applicable law does not allow such limitation, nor to eliminate non-waivable rights recognized by the consumer-protection legislation of your country of residence.
8.5. Exclusion of biological, climatic, and field-management factors: Yolia is a strictly informational, decision-support tool. Omar Eduardo Escobio Arenas (individual, operating under the trade name “Yolia”) is not liable, under any circumstances permitted by applicable law, for the appearance, spread, or effects of pests, fungi, bacteria, viruses, or any other plant-health disease in the user's crops. Likewise, any liability is excluded for damages arising from adverse weather conditions (droughts, frosts, floods, extreme heat or cold), water or soil quality, improper handling of inputs, or human error in physically applying the formulas or recommendations the Service generates. This exclusion is not intended to limit Yolia's liability in cases where applicable law does not permit it, in accordance with clause 8.3.
8.5 bis. Responsible use of preparations: Yolia's formulas and preparation plans are an informational guide. Before applying any preparation to your whole crop, you must first test it on a small area or a small number of plants and observe the result; When preparing it you must use appropriate hygiene and protective equipment and follow the storage and timing instructions in the plan. Yolia does not replace the advice of a technician or agronomist when you make commercial-scale decisions. By using the Service you acknowledge that results depend on factors Yolia does not control and that no yield, harvest increase, or prevention of pests or diseases is guaranteed.
9. Indemnification
You agree to indemnify, defend, and hold harmless Omar Eduardo Escobio Arenas (individual, operating under the trade name “Yolia”), its shareholders, officers, employees, attorneys, accountants, and collaborators, from any claim, lawsuit, fine, administrative penalty, damage, loss, or expense (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Service, your violation of biosecurity, health, or regulated-species laws, or your violation of third-party rights or applicable law.
10.Termination
You may stop using the Service and cancel your account at any time in accordance with the mechanisms described in the Billing, Cancellations, and Refunds Policy. Yolia may suspend or terminate your access to the Service, with or without prior notice, when you seriously or repeatedly breach these Terms, without prejudice to obligations already generated before termination. Yolia may also suspend or discontinue the Service, in whole or in part, when required by a competent authority, or voluntarily by business decision, in which last case we will notify you at least thirty (30) calendar days in advance unless an urgent legal obligation prevents such prior notice. Termination of your account, for any reason, results in loss of access to your logs, case files, and historical formulas saved in the Service; it is your responsibility to export the information the platform allows you to export before the account is closed.
11. Modifications to these Terms
We may update these Terms periodically. We will publish the current version on the site with the last-updated date, and for substantial changes we will make a reasonable effort to notify you through the Service or by email before they take effect. Continued use of the Service after changes take effect constitutes your acceptance of them.
12. Governing law and dispute resolution
12.1. These Terms are governed by the laws of the United Mexican States, and any dispute will be submitted to the competent courts under applicable law, without prejudice to non-waivable consumer-protection provisions that may apply in your country of residence.
12.2. For users in the United States: nothing in this section is intended to waive rights that state consumer-protection laws recognize as non-waivable, including (where applicable) the right to opt out of mandatory arbitration clauses.
12.3. For users outside Mexico and the United States ("international users"): you agree that these Terms and the legal relationship with Yolia are interpreted under the framework set out in clause 12.1, to the extent this does not contradict public-order provisions or non-waivable consumer-protection provisions of your own country, which will prevail as applicable.
12.4. Staged dispute resolution: before initiating any formal proceeding (judicial or arbitration), we ask you — and we commit to the same — to try to resolve the dispute in good faith by writing to contact@yolia.farm with a clear description of the problem, giving the other party at least thirty (30) calendar days to respond before escalating the matter. This does not apply to requests for urgent injunctive relief or to cases where applicable law does not allow this prior requirement.
12.5. Arbitration and class-action waiver (where the law allows it): to the maximum extent permitted by applicable law and without affecting non-waivable consumer rights, any dispute not resolved under clause 12.4 may be resolved through individual arbitration, and you and Yolia agree that each may only bring claims in your/its individual capacity, not as a plaintiff or member of a class, consolidated, or representative action. If your country's law does not allow this clause (in whole or in part), this clause does not apply to that extent and your legally recognized right prevails.
13. Force majeure
Neither party will be liable for delays or failures caused by events outside its reasonable control, including natural disasters, internet infrastructure or external-provider failures (including the payment processor), acts of government, pandemics, or social unrest.
14. General provisions
If any clause of these Terms is declared invalid or unenforceable, the rest will remain in effect. Yolia's failure to exercise a right does not constitute a waiver of it. These Terms, together with the policies incorporated by reference, constitute the entire agreement between you and Yolia regarding the Service.
